Subject: Appointment of a Supervisory Board Member of Globe Trade CentreS.A. for a subsequent term of office
The Management Board of Globe Trade Centre S.A. (the "Company") herebyannounces that pursuant to Articles 7.1.1, 7.1.2 and 7.1.3 of theCompany's Articles of Association, AVIVA Powszechne TowarzystwoEmerytalne AVIVA BZ WBK S.A., with its registered seat in Warsaw(address: ul. Domaniewska 44, 02-672 Warsaw), acting on behalf of AVIVAOtwarty Fundusz Emerytalny Aviva BZ WBK (the "Shareholder"), hasappointed Marcin Murawski to the Company's Supervisory Board for afurther three-year term of office commencing on 24 May 2016. TheShareholder is an Entitled Shareholder within the meaning of theCompany's Articles of Association holding more than 5% of the Company'sshare capital, and therefore is entitled to appoint one member of theCompany's Supervisory Board.
Marcin Murawski graduated from WarsawUniversity's Faculty of Management in 1997. He also has the followingcertificates: ACCA (1999), ACCA Practicing Certificate (2003), KIBREntitlement (2003), and CIA (2005). Since 2012 he has been a member ofthe Supervisory Board of CCC S.A..and a member of the Supervisory Boardand an Audit Committee member of Apator S.A. Between 2005 and 2012 Mr.Murawski was the Director of the Internal Audit and InspectionDepartment at WARTA Group and a Secretary of the Audit Committee at TUIRWARTA S.A. and TUNŻ WARTA S.A. Between 1997 and 2005 he worked atPricewaterhouseCoopers Sp. z o.o., as Manager of the Audit Department(2002-2005), Senior Assistant of the Audit Department (1999-2001), andAssistant of the Audit Department (1997-1999).
According to his statement, Mr Murawski is not entered in the registerof insolvent debtors maintained in compliance with the Act on theNational Court Register dated 20 August 1997, does not perform anyactivities outside of the Company's business which could be consideredcompetitive with respect thereto, does not participate in anycompetitive business either as a partner in a civil partnership or anyother type of partnership, and is not a member of the authorities of anycompetitive company or any other competitive entity.
According to his statement, Marcin Murawski fulfils the independencecriteria as specified in Annex No. II to Commission Recommendation2005/162/EC of 15 February 2005 on the role of non-executive orsupervisory directors of listed companies and on the committees of the(supervisory) board and certain additional requirements set forth in theBest Practice of GPW Listed Companies attached to Resolution No.27/1414/2015 adopted by the Warsaw Stock Exchange Management Board on 13October 2015.
Legal grounds: Paragraph 5 sec. 1 point 22 of the Regulation of theMinister of Finance dated 19 February 2009 on the submission of currentand periodical information by issuers of securities and on theconditions for treating as equivalent information required by the lawsof a country which is not a member of the European Union.
