NOTIFICATION ON THE INCREASE IN THE SHARE CAPITAL AND THE INCREASE IN THE NUMBER OF VOTES AT THE GENERAL MEETING OF GRUPA ŻYWIEC S.A.

Heineken International B.V. z siedzibą w Amsterdamie (Heineken), na podstawie art. 69 ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych (Ustawa), informuje, że w wyniku zawarcia transakcji pakietowej , w dniu 18 października 2022 r., pomiędzy Heineken a Harbin B.V., transakcji kupna 2.896.093 akcji Grupy Żywiec S.A. (Spółka), doszło do zwiększenia udziału Heineken w kapitale zakładowym oraz w ogólnej liczbie głosów na walnym zgromadzeniu Spółki z około 65,16% do około 93,36 %, tj. o około 28,2 punktów procentowych. Liczba akcji Spółki posiadanych przez Heineken wzrosła z 6.692.421 do 9.588.514 zdematerializowanych akcji na okaziciela Spółki, uprawniających do wykonywania 9.588.514 głosów na walnym zgromadzeniu Spółki.

Heineken International B.V. with its registered office in Amsterdam (the Netherlands) (Heineken), pursuant to Article 69 of the Act dated 29 July 2005 on Public Offerings, the Conditions Governing the Introduction of Financial Instruments to Organised Trading, and Public Companies (the Act), informs that on 17 October 2022, as a result of an execution of a block transaction on 18 October 2022, of the acquisition of 2.896.093 shares of Grupa Żywiec S.A. (the Company), concluded between and Harbin B.V., Heineken share in the share capital and the number of votes at the general meeting of the Company increased from approx. 65.16% to approximately 93,36%, i.e. by approx. 28,2 percentage points. Number of shares held by Heineken increased from 6,692,421 to 9,588,514 dematerialised bearer shares of the Company, authorising to exercise 9,588,514 shares at the general meeting of the Company.

Nie istnieją podmioty zależne od Heineken, które posiadają akcje Spółki.

There are no subsidiaries of Heineken that hold Company's shares.

Heineken nie posiada instrumentów finansowych, o których mowa w art. w art. 696 ust. 1 pkt 1 oraz w art. 69b ust. 1 pkt 2 Ustawy.

Heineken does not hold any financial instruments, referred to in Art. 696 sec. I points 1 and 2 of the Act.

Heineken nie zawarł z osobą trzecią umowy, której przekazanie uprawnienia do wykonywania prawa głosu z akcji Spółki.

Heineken has not concluded any agreement on transferring the shares in the shares in the Company.
