Title:Finalization of the transaction concerning increase of Grupa PracujS.A.'s involvement in the Ukrainian companies running businesses underthe names Work.ua and Robota.ua

Withreference to the current report no. 11/2024 dated November 04, 2024 theManagement Board of Grupa Pracuj S.A. with its registered office inWarsaw (the "Company" or "Grupa Pracuj")informs that on May 13, 2025 the Company entered into a share purchaseagreement with Mr Andriy Borovyk, based on which Grupa Pracuj acquiredfrom Mr Andriy Borovyk (i) indirectly 29.4% of the shares in Ukrainiancompany Gravitatciya-U TOV ("Gravitatciya-U") and directly29.4% of shares in Cypriot company GVT Ltd ("GVT") for thetotal purchase price of USD 7,644,000. At the same time, the otheractions necessary to finalize the transaction were made.

Gravitatciya-Uholds 33% of the shares in Robota International TOV (Robota.ua) and 67%of the shares in Work Ukraine TOV (Work.ua), whereas GVT holds 33% ofshares in Snowless Global Ltd and 67% of shares in WorkIP Ltd.

Asa result of the transaction, Grupa Pracuj holds:

-directly100% of shares in Onorat Holdings Ltd with its registered seat in Cyprus("Onorat");

-indirectly29.4% sharesin Gravitatciya-U TOV(through Onorat);

-directly29.4% shares in GVT Ltd;

-intotal (directly and in directly) 76.7% (of which 67.0% directly) inRobota International TOV;

-intotal (directly and in directly) 76.7% (of which 67.0% directly) inSnowless Global Ltd;

-intotal (directly and in directly) 52.7% (of which 33.0% directly) in WorkUkraine TOV; and

-intotal (directly and in directly) 52.7% (of which 33.0% directly) inWorkIP Ltd.

Thetransaction does not change the way both businesses are run or theexisting approach for consolidating financial results.
