We enclose, by way of service pursuant to section 630(5)(b) of the Corporations Act 2001 (Cth), the notice of the status of the defeating conditions to the offers required by section 630(3) of the Corporations Act 2001 (Cth) in relation to the takeover offers by Growthpoint Properties Australia Limited ABN 33 124 093 901 as responsible entity for Growthpoint Properties Australia Trust ARSN 120 121 002 for all the units in Rabinov Property Trust ARSN 099 776 342.

The takeover offers are currently scheduled to close at 7.00pm (Melbourne time) on 15 June 2011.

Notice of status of defeating conditions

To: Rabinov Property Management Limited in its capacity as responsible entity for Rabinov Property Trust

ASX Limited

Growthpoint Properties Australia Limited ABN 33 124 093 901 as responsible entity for Growthpoint Properties Australia Trust ARSN 120 121 002 ( Growthpoint ) has made offers under an off-market takeover bid for all the units in Rabinov Property Trust ARSN 099 776 342 ( Rabinov Trust ) ( Offers ). The Offers are contained in a bidder’s statement dated 21 April 2011 ( Bidder’s Statement ).

For the purposes of subsection 630(3) of the Corporations Act 2001 (Cth), Growthpoint gives notice that:

• 1 it has freed the Offers from all the conditions;

• 2 so far as it knows, the conditions in sections 12.8(c), 12.8(l)(1), 12.8(l)(2) and 12.8(t) of the Bidder’s Statement were fulfilled; and

• 3 its voting power in Rabinov Trust is approximately 91.98%.
