ASX ANNOUNCEMENT GROWTHPOINT PROPERTIES AUSTRALIA (ASX Code: GOZ)

19 March 2012

Retirement of existing director and appointment of new director

Growthpoint Properties Australia ( “Growthpoint” ) today announces the resignation of long standing director and Audit and Risk Committee Chairman, David Spruell.

Lyn Shaddock, Chairman, commented – “David has made a significant contribution to Growthpoint and its predecessor since its listing in 2007. In particular, we are grateful for his contribution to Audit and Risk matters. He agreed to stay on the board when Growthpoint Properties Limited invested in the Trust in 2009 to provide continuity during this transition until a suitable new director was identified.”

In accordance with its Diversity Policy, Growthpoint Properties Australia has been seeking to appoint a female director to its board for some time and, as a result of its search, the Growthpoint board is pleased to announce the appointment of Maxine Brenner effective immediately.

Maxine is currently a Managing Director in Investment Banking at Investec Bank (Australia) Ltd. She has been involved in advisory work for many years, particularly in relation to mergers and acquisitions. Prior to this, she was a Lecturer in Law at University of NSW and corporate lawyer at Freehills. Her former directorships include Treasury Corporation of NSW, Neverfail Springwater Ltd, Federal Airports Corporation and Bulmer Australia Ltd. In addition, Maxine has also served as a member of the Takeovers Panel.

Lyn Shaddock, Chairman, commented – “I believe Maxine Brenner’s experience, intellect and interest in real estate make her an ideal addition to the Growthpoint board. In particular, her extensive experience in mergers and acquisitions in a range of capacities should assist Growthpoint as it continues to expand and diversify its asset base.”
