F2: The Reporting Person previously transferred for no consideration 1,747,000 shares of common stock directly owned by him and all of the shares of common stock owned by Longview Capital SVH LLC ("LCSVH") to Longview Grindr Holdings Limited ("LGHL"). LGHL is the sole equityholder of LCSVH. Reporting person exercises ultimate voting and investment power of the equity interests held by LGHL and exercised ultimate voting and investment power of the equity interests held by LCSVH. The amount reported reflects adjustments made to reflect changes in the form of ownership of these shares.

F3: Longview Capital Group Limited ("LCGL") is the sole equityholder of LGHL. The Reporting Person is the sole equityholder of LCGL and exercises ultimate voting and investment power of the equity interests held by LCGL and LGHL. The Reporting Person disclaims beneficial ownership of these shares except to the extent of his pecuniary interest therein. The inclusion of these shares in this report shall not be deemed an admission of beneficial ownership of all of the reported shares for purposes of Section 16 or for any other purpose.
