Completion of Acquisition of C24 Technologies Ltd

Further to its announcements made on 4 October 2016 regarding the acquisition of C24 Technologies Ltd ("Acquisition") and the associated placing of 3,163,540 new ordinary shares ("Placing Shares"), Gresham Computing plc (LSE: "GHT", "Gresham", "Company" or the "Group"), the leading software and services company that specialises in providing real-time transaction control and enterprise data integrity solutions, is pleased to confirm that the Placing Shares have been issued and the Acquisition will complete today at 8 a.m. upon admission of the Placing Shares to trading on the Main Market of the London Stock Exchange and to listing on the Official List of the UKLA.

Following the issue of the Placing Shares, which rank pari passu with all existing ordinary shares of the Company, the Company has a total of 66,684,518 ordinary shares with voting rights in issue. The Company currently holds no shares in treasury.

The above figure of 66,684,518 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure and Transparency Rules.
