The following is a copy of the resolution that was passed at the General Meeting of Gresham Technologies plc (the "Company") held today. The resolution was put to the vote by a show of hands of the shareholders present in person, or represented by proxy, at the meeting.
THAT the Gresham Technologies plc Deferred Share Bonus Plan be approved and adopted.
