Results of General Meeting

Gresham Computing plc is pleased to announce that at the General Meeting of the Company held at 11.00 a.m. today, all the resolutions set out in the Notice of General Meeting contained within the Circular dated 27 January 2015 (the "Notice") were duly passed.  

Voting on the shareholder resolutions set out in the Notice was conducted on a show of hands, save in the case of resolution 3 which was conducted by poll. 

In respect of the resolutions passed on a show of hands, the results of the proxy votes lodged in advance of the General Meeting will be available on Gresham's website www.gresham-computing.com shortly, together with the voting results of the resolution passed by poll. 

In accordance with the Company's obligations under Listing Rule 9.6.2, copies of the resolutions passed will shortly be submitted to the National Storage Mechanism and will be available for viewing at www.morningstar.co.uk/uk/NSM.
