Results of the General Meeting

Gresham House Energy Storage Fund PLC (LSE: GRID) announces that at the Company's General Meeting held today, all resolutions were passed on poll and the results of the poll, including the proxy votes received, are set out below.

Resolutions 1 and 2 (inclusive) were proposed as ordinary resolutions and resolution 3 was proposed as a special resolution.

Every shareholder has one vote for every Ordinary Share held. As at close of business on 11 May 2022, the share capital of the Company consisted of 437,842,078 Ordinary Shares with voting rights. The Company does not hold any shares in Treasury.

A summary of these resolutions can be found below:

Ordinary Resolutions

1.     To grant the Company authority to allot Ordinary Shares and C Shares up to an aggregate nominal value of £4,000,000.

2.     To amend the investment policy of the Company as described in the Circular. 

Special Resolution

3.   To disapply pre-emption rights in respect of Ordinary Shares and C Shares up to an aggregate nominal value of £4,000,000.
