GRENKELEASING AG: GRENKE Foundation established

The sender is solely responsible for the contents of this announcement. —————————————————————————— GRENKELEASING AG: GRENKE Foundation established Baden-Baden, December 21, 2004: Last Friday, Wolfgang Grenke, Chairman of the Management Board and principal shareholder of GRENKELEASING AG, transferred 675,000 GRENKE shares to the non-profit-making GRENKE Foundation based in Baden-Baden. The GRENKE Foundation was recently established. In addition to charitable purposes as well as furthering the development of today’s youth and sport, the Foundation will use its income generated to support projects relating to the arts and urban development in Baden-Baden. A further key focus is on promoting science and research in the field of preventive medicine – particularly the prevention of addiction. According to Kurt Schneider and Friedrich Wilhelm Elflein, Board members of the Foundation, there are no plans on the part of the Foundation to sell GRENKE shares on the stock market in the foreseeable future. As of 2006, sales might be possible particularly in connection with covered calls in off-the- floor trading. The exercise (strike) price of such warrants is to be reached only after GRENKE’s share price has risen by a further 20%. Due to this transaction, the free float of GRENKELEASING AG in accordance with the guideline on stock market indices defined by the German Stock Exchange has increased to 55.14 per cent. 44.86 per cent of GRENKE shares remain in the hands of Mr and Mrs Grenke and their minor sons.
