ANNOUNCEMENT

In accordance with the applicable legal provisions, Greenvolt – Energias Renováveis, S.A. ("Issuer") hereby announces that, pursuant to the prospectus relating to the admission to trading of the Issuer's shares in Euronext Lisbon's regulated market, managed by Euronext Lisbon – Sociedade Gestora de Mercados Regulamentados, S.A., approved by the Portuguese Securities Market Commission on July 1, 2021 and disclosed on July 2, 2021, as amended by the addendum approved by the Portuguese Securities Market Commission and disclosed on July 6, 2021 (collectively, "Prospectus"), accessible at www.greenvolt.pt and www.cmvm.pt, and as agreed pursuant to the Underwriting Agreement entered into on 1 July 2021, the Joint Global Coordinators have, for and on behalf of the Managers, exercised the Greenshoe Option, as better described in the market announcement dated 26 July 2021. As such the Issuer has issued 4,588,235 additional new ordinary, book-entry, nominative shares, without nominal value, at a subscription price of 4.25 Euros per share (the "Option New Shares"), resulting in a share capital increase of 19,499,998.75 Euros.

As such, the share capital of the Issuer which was that of 247,599,998.75 Euros is now of 267,099,997.50 Euros, represented by 121,376,470 ordinary, book-entry, nominative shares without nominal value.

The Option New Shares will be issued following the above-mentioned registration of the Issuer's share capital increase with the competent Commercial Registry Office.

The Option New Shares will be fungible with existing shares of the Issuer and, as of the date of issuance, will entitle their holders to the same rights as those of existing shares.

All shares representing the Issuer's share capital and corresponding voting rights are admitted to trading on the regulated market Euronext Lisbon, managed by Euronext Lisbon – Sociedade Gestora de Mercados Regulamentados, S.A., under the ISIN code PTGNV0AM0001.
