RESIGNATION OF VICE CHAIRMAN AND DIRECTOR

The board of directors (the “Board”) of Omnicorp Limited (the “Company”) announces that Mr. Sung Kai Hing, Simon (“Mr. Sung”) resigned as the Vice Chairman and an Executive Director of the Company with effect from 11 January 2007 due to personal reason. Mr. Sung confirmed that there is no disagreement with the Board and there is no matter relating to his resignation that needs to be brought to the attention of the shareholders of the Company.

The Board would like to express its sincerest gratitude and appreciation to Mr. Sung for his valuable contribution to the Company during his tenure of service.

As at the date of this announcement, the Board of the Company comprises three Executive Directors, namely Messrs. Au Hoi Tsun Peter, Hui Tung Wah Samuel and Sung Yan Wai Petrus and three independent non-executive Directors, namely, Messrs. Wong Che Keung Richard, Tong Yee Yung Joseph and Wong Kin Chi.
