EXPIRY OF SUBSCRIPTION RIGHTS ATTACHING TO
THE FEBRUARY 2000 WARRANTS (STOCK CODE 896) AND
THE MARCH 2000 WARRANTS (STOCK CODE 515)

Subscription rights attaching to the February 2000 Warrants and the March
2000 Warrants are expected to expire on Friday, 25 February 2000 and
Monday, 6 March 2000, respectively.

Last days for trading in the February 2000 Warrants and March 2000
Warrants are expected to be Tuesday, 22 February 2000 and Wednesday, 1
March 2000, respectively. The listings of the February 2000 Warrants and
the March 2000 Warrants are expected to be withdrawn at the close of
business on Friday, 25 February 2000 and Monday, 6 March 2000,
respectively.


The board of directors of Tian An China Investments Company Limited (the
"Company") wishes to remind holders of its warrants carrying rights to
subscribe in cash for new shares of HK$0.20 each (the "Shares") in the
capital of the Company at a subscription price of HK$0.20 per Share
(subject to adjustment) with Stock Code 896 (the "February 2000 Warrants")
that according to the terms and conditions of the February 2000 Warrants,
after the close of business at 4:00 p.m., Friday, on 25 February 2000, any
subscription rights under the February 2000 Warrants which have not been
exercised will lapse and certificates for the February 2000 Warrants will
cease to be valid for any purpose. New Shares which may fall to be issued
on the exercise of the subscription rights attaching to the February 2000
Warrants will rank pari passu in all respects with the fully paid Shares
in issue on the relevant date of subscription in accordance with the terms
as defined in the instrument dated 28 January 1999 constituting the
February 2000 Warrants (the "896 Instrument").

In addition, holders of the warrants carrying rights to subscribe in cash
for new Shares at a subscription price of HK$0.86 per Share (subject to
adjustment) with Stock Code 515 (the "March 2000 Warrants") are reminded
that according to the terms and conditions of the March 2000 Warrants,
after the close of business at 4:00 p.m., Monday, on 6 March 2000, any
subscription rights under the March 2000 Warrants which have not been
exercised will lapse and certificates for the March 2000 Warrants will
cease to be valid for any purpose. New Shares which may fall to be issued
on the exercise of the subscription rights attaching to the March 2000
Warrants will rank pari passu in all respects with the fully paid Shares
in issue on the relevant date of subscription in accordance with the terms
as defined in the instrument dated 20 February 1997 constituting the March
2000 Warrants (the "515 Instrument").

The following arrangements have been made in respect of dealing in,
transfer of and exercise of the subscription rights attaching to the
February 2000 Warrants and the March 2000 Warrants:

February 2000 Warrants

1. The last trading day of the February 2000 Warrants on The Stock
Exchange of Hong Kong Limited ("Stock Exchange") is expected to be
Tuesday, 22 February 2000 at 4:00 p.m. and the listing of the February
2000 Warrants is expected to be withdrawn from the Stock Exchange from the
close of business on Friday, 25 February 2000. Application will be made to
the Stock Exchange for the withdrawal of the listing of the February 2000
Warrants with effect from the close of business on Friday, 25 February
2000.

2. Registered holders of the February 2000 Warrants who wish to
exercise in whole or in part any of the subscription rights attaching to
their February 2000 Warrants must lodge with the share and warrant
registrars of the Company in Hong Kong, Secretaries Limited at 5th Floor,
Wing On Centre, 111 Connaught Road Central, Hong Kong (the "Registrars")
the following at or before 4:00 p.m. on Friday, 25 February 2000:

(a) the relevant certificate(s) for the February 2000 Warrants;

(b) the duly completed and signed subscription form(s); and

(c) the relevant subscription monies.

Under the terms of the 896 Instrument, new Shares will be allotted and
issued within 28 days after the relevant subscription date.

3. Any persons who have not registered the February 2000 Warrants in
their names and who wish to exercise in whole or in part of the
subscription rights attaching to those February 2000 Warrants must lodge
with the Registrars at the above-mentioned address the following at or
before 4:00 p.m. on Friday, 25 February 2000:

(a) the duly executed and stamped instrument(s) of transfers(s) and/or
other document(s) of title;

(b) the relevant certificate(s) for the February 2000 Warrants;

(c) the duly completed and signed subscription form(s); and

(d) the relevant subscription monies.

4. Subscription forms and the relevant accompanying documentation
which are lodged with the Registrars after 4:00 p.m. on Friday, 25
February 2000 will not be accepted.

The closing prices of the Shares and the February 2000 Warrants quoted on
the Stock Exchange on 17 January 2000 were HK$0.33 per Share and HK$0.128
per February 2000 Warrant, respectively.

March 2000 Warrants

1. The last trading day of the March 2000 Warrants on the Stock
Exchange is expected to be Wednesday, 1 March 2000 at 4:00 p.m. and the
listing of the March 2000 Warrants is expected to be withdrawn from the
Stock Exchange from the close of business on Monday, 6 March 2000.
Application will be made to the Stock Exchange for the withdrawal of the
listing of the March 2000 Warrants with effect from the close of business
on Monday, 6 March 2000.

2. Registered holders of the March 2000 Warrants who wish to exercise
in whole or in part any of the subscription rights attaching to their
March 2000 Warrants must lodge with the Registrars the following at or
before 4:00 p.m. on Monday, 6 March 2000:

(a) the relevant certificate(s) for the March 2000 Warrants;

(b) the duly completed and signed subscription form(s); and

(c) the relevant subscription monies.

Under the terms of the 515 Instrument, new Shares will be allotted and
issued within 28 days after the relevant subscription date.

3. Any persons who have not registered the March 2000 Warrants in
their names and who wish to exercise in whole or in part of the
subscription rights attaching to those March 2000 Warrants must lodge with
the Registrars at the above-mentioned address the following at or before
4:00 p.m. on Monday, 6 March 2000:

(a) the duly executed and stamped instrument(s) of transfers(s) and/or
other document(s) of title;

(b) the relevant certificate(s) for the March 2000 Warrants;

The closing price of the Shares quoted on the Stock Exchange on 17 January
2000 was HK$0.33 per Share. There was no trading for the March 2000
Warrants on 17 January 2000. The closing price of the March 2000 Warrants
quoted on the Stock Exchange on 14 January 2000 was HK$0.01 per March 2000
Warrant.

General

A circular relating to the above announcement will be posted to the
holders of the February 2000 Warrants and the March 2000 Warrants and, for
information only, to the shareholders of the Company as soon as
practicable.

Holders of the February 2000 Warrants and the March 2000 Warrants, who are
in doubt as to their position or to the actions to be taken should consult
their stockbroker or other registered dealer in securities, bank manager,
solicitor, professional accountant or other professional advisers.
