Samil PricewaterhouseCoopers, our independent auditor, has conducted audits and expressed an opinion with regards to the non-consolidated Statements of financial position of Gravity Co., Ltd. (the “Company”) as of December 31, 2010 and 2009, and the related non-consolidated statements of income, appropriation of retained earnings, changes in shareholders’ equity and cash flows for the years then ended, expressed in Korean Won in conformity with accounting principles generally accepted in the Republic of Korea (“K-GAAP”). A copy of the audited non-consolidated financial statements is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
