Completion of Retail Entitlement Offer and Tranche 2 Placement for acquisition funding
Gratifii Limited (ASX: GTI) ( Gratifii) or Company ) is pleased to announce the successful completion of the retail component ( Retail Offer ) of its partially underwritten 1 for 1.28 accelerated nonrenounceable pro-rata entitlement offer of new fully paid ordinary shares in Gratifii ( New Shares ) as announced to the ASX on 6 September 2024 ( Entitlement Offer ) as well as the Tranche 2 Placement.
The Retail Offer closed on 29 October 2024 and raised a total of $4.72 million at $0.004 per New Share inclusive of $2.7 million through the shortfall / underwriter. The $4.72 million raised from the Retail Offer, combined with the $0.8 million raised under the accelerated institutional component of the Entitlement Offer and the $3.5 million raised under Tranche 1 and 2 of the Placement (announced to ASX on 10 September 2024) will be approximately $9.0 million.
The shortfall under the Retail Offer of 663,341,722 New Shares will be settled by the underwriter.
New Shares issued under the Retail Offer and the shortfall will rank equally with existing shares on issue. The New Shares are expected to be allotted on 4 November 2024 and will trade on the ASX on a normal settlement basis from 5 November 2024.
