WAIVER FROM LISTING RULE 14.7

MOBECOM LIMITED ABN 47 125 688 940

(ASX: MBM)

Mobecom Limited ( Company ), wishes to advise that the ASX has granted the Company a waiver from Listing Rule 14.7 to the extent necessary to permit the Company to issue, as approved by shareholders at the general meeting held on 1 May 2017, the following securities later than three months after the date of shareholder approval:

• a) up to 45,000,000 shares, including 2,500,000 shares to Todd Ruppert, under the Investor Offer*;

• b) 297,619 shares and up to 5,563,817 options to the Promoter* (PAC Partners Pty Ltd), under the Promoter Offer*; and

• c) 793,585 shares to Neil Herbert, 283,795 shares to Warwick Andrew and 248,230 shares to Mandeep Bhandari under the Staff Offer*,

on condition that:

• d) the securities are issued no later than 12 October 2017 and on the same terms and conditions as approved by shareholders;

• e) the circumstances of the Company, as determined by ASX, have not changed materially since shareholders approved the issue of the securities; and

• f) the terms of the waiver are immediately released to the market.

*These capitalised terms have the meaning given to them in the Replacement Prospectus issued by the Company dated 19 July 2017.
