Dear Sirs,

• Sub: Scheme of Arrangement between Grasim Premium Fabric Private Limited (previously known as Soktas India Private Limited), a wholly owned subsidiary of the Company and Grasim Industries Limited and their respective shareholders and all concerned (the Scheme)

Further to our letters dated 30[th] September 2019 and 28[th] October 2020 and pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 [Listing Regulations], this is to inform you that Grasim Premium Fabric Private Limited (GPFPL) has today filed with the Registrar of Companies, Pune, a certified copy of the Order of Hon’ble National Company Law Tribunal, Mumbai Bench sanctioning the Scheme.

In terms of the provisions of the Scheme, the Effective Date is 21[st] June 2021, which was also approved by the Board of Directors of GPFPL at its meeting held today and noted by the Board of Directors of the Company. As the Scheme has become effective from the aforesaid date and from the Appointed Date i.e. 1[st] April 2019, all properties, asset, investments, liabilities, etc of GPFPL stands merged and transferred to and vested in the Company, on a going concern basis in the manner as stated more particularly in the Scheme.

Consequent to the above, GPFPL stands dissolved without being wound-up and has also ceased to be a wholly owned subsidiary of the Company.
