Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On November 11, 2025, Graphjet Technology (the “ Company ”) received a written notice (the “ Notice ”) from a Hearings Advisor from the Office of the General Counsel of The Nasdaq Stock Market LLC indicating that the Nasdaq Hearings Panel (the “ Panel ”) has determined to delist the Company’s securities from The Nasdaq Global Market (“ Nasdaq ”).

The Panel’s determination was based on the Company’s failure to regain compliance with Nasdaq Listing Rules 5450(b)(2&3)(C) and 5450(b)(2)(A), the market value of publicly held shares and market value of listed securities rules, respectively. Accordingly, the Panel has determined that the Company’s securities will be suspended from trading on Nasdaq at the open of trading on November 13, 2025.

The Notice further states that the Company may request that the Nasdaq Listing and Hearing Review Council review this decision. The request must be received within 15 days from the date of the Notice. The Company intends to request such review and present a plan to regain compliance.

If the Company’s securities are ultimately delisted from Nasdaq, it is expected that they will be eligible to be quoted on the OTC Markets. There can be no assurance, however, that a market for the Company’s securities will develop or be maintained.
