APPOINTMENT OF SENIOR EXECUTIVE

The Board (the “ Board ”) of directors (the “ Directors ”) of Graphex Group Limited (the “ Company ”) together with its subsidiaries (collectively, the “ Group ”) is pleased to announce that Mr. John DeMaio (“ Mr. DeMaio ”) has been appointed as the president of the graphene division of the Company and the chief executive officer of Graphex Technologies LLC (“ Graphex Technologies ”), the wholly-owned subsidiary of the Company in the United States.

Mr. DeMaio has over 20 years of experience in the energy and infrastructure sectors and has developed and deployed several new technologies into new markets including first-in-kind solar technologies, advanced waste-to-energy technologies, and groundbreaking AIoT (Artificial Intelligence of Things) platforms. Mr. DeMaio

was the president and chief executive officer of JouleSmart Solutions Inc., general manager of Siemens Smart Infrastructure, vice president of MWH Global Inc., chief operating officer of Thompson Solar Technologies, and division manager of SPG Solar Inc. Mr. DeMaio has led successful startups of small businesses as well as divisional and regional turnarounds within Fortune 50 organizations.

Mr. DeMaio will focus on Graphex Technologies’ key priority of developing and launching North American and European strategic alliances to support the unprecedented increase in demand for advanced battery technology in the electric vehicle and renewable energy industries. He will advance opportunities to establish supply chains in the United States and Europe, bringing technology, employment opportunity, and dependable supply to the markets that the Group will serve.

The Board would like to express its warmest welcome to Mr. DeMaio for his new positions in the Group.
