Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 8, 2016, Michael F. Donnino announced he would resign effective December 31, 2016 from his position as Large Projects Group Manager of Granite Construction Incorporated (the “Company”). Mr. Donnino will remain as a Senior Vice President of the Company until his retirement effective June 3, 2017. In connection with his retirement, Mr. Donnino and the Company entered into an agreement pursuant to which he will serve as an advisor to the Company’s Large Projects Group Manager as a consultant for up to a six month period.

Dale A. Swanberg, Vice President and Deputy Group Manager of Granite Construction Company, will assume Mr. Donnino's former Large Projects Group Manager responsibilities on January 1, 2017.
