PROXY FORM

FORM OF PROXY FOR USE AT THE ANNUAL GENERAL MEETING TO BE HELD AT 10:00 A.M. ON FRIDAY, 17 SEPTEMBER 2021 OR ANY ADJOURNMENT THEREOF

of being the registered holder(s) of[2] shares of HK$0.01 each (the “ Shares ”) of Grandshores Technology Group Limited (the “ Company ”), HEREBY APPOINT[3] the Chairman of the Meeting, or

of as my/our proxy to attend and vote for me/us and on my/our behalf at the annual general meeting (the “ Meeting ”) of the Company to be held at 10:00 a.m. on Friday, 17 September 2021 at Room 1, 10/F., United Centre, 95 Queensway, Admiralty, Hong Kong (or at any adjournment thereof) in respect of the resolutions set out in the notice convening the Meeting (the “ Notice of AGM ”) as hereunder indicated and, if no such indication is given, as my/our proxy thinks fit. Capitalised terms used herein shall have the same meaning as those stated in the Notice of AGM.

ORDINARY RESOLUTIONS FOR4 AGAINST4
1. To consider and receive the audited consolidated fnancial statements and the reportsof the directors (“Director(s)”) of the Company and the auditors of the Company forthe year ended 31 March 2021.
2. (a)To re-elect Mr. Chua Seng Hai as a non-executive Director;
(b)To re-elect Mr. Yu Wenzhuo as an independent non-executive Director;
(c)To re-elect Ms. Yu Zhuochen as a non-executive Director; and
(d)To authorise the board of Directors (the “Board”) to fix the Directors’remuneration.
3. To re-appoint Crowe (HK) CPA Limited as the auditors of the Company and to fx theauditor’s remuneration
4. To give a general mandate to the board of Directors to allot, issue and deal withadditional shares not exceeding 20% of the issued share capital of the Company.
5. To give a general mandate to the board of Directors to repurchase shares and othersecurities of the Company.
6. To extend the general mandate granted to the board of directors of the Company toissue additional shares of the Company that are repurchased pursuant to Resolution 5.

  5. This form of proxy must be signed by you or your attorney duly authorised in writing or, in the case of a corporation, must be either under its common seal or under the hand of an officer or attorney duly authorised.

  6. In the case of joint holders, the vote of the senior who tenders a vote, whether in person or by proxy, will be accepted to the exclusion of the votes of the other joint holders. For this purpose, seniority is determined by the order in which the names stand in the register of members in respect of the joint holding.

  7. To be valid, this form of proxy, together with a power of attorney or other authority (if any) under which it is signed, or a certified copy of that power or authority, must be deposited at the Company’s branch share registrar and transfer office in Hong Kong, Tricor Investor Services Limited, at Level 54, Hopewell Centre, 183 Queen’s Road East, Hong Kong, not less than 48 hours (i.e. 10:00 a.m. on Wednesday, 15 September 2021) before the time of the Meeting or any adjournment of such Meeting.

  8. The proxy need not be a member of the Company but must attend the Meeting in person to represent you.

  9. Completion and return of this form will not preclude you from attending and voting in person at the Meeting or any adjournment thereof if you so wish.
