Dividend Yield Remains Very Attractive
Amberg / May 28, 2008 — Today the annual general meeting of Grammer AG
approved a dividend of one euro per share for the last fiscal year. This
corresponds to dividend yield of 6.2 percent based on the 2007 year-end
share price of 16.02 euros. The stock of the Amberg, Germany-based supplier
to the vehicle manufacturing industry thus once again ranks among the
companies offering the highest dividends of those represented in German
indexes. With 10,165,109 shares whose bearers are entitled to receive
dividends, the company is disbursing about 10.2 million euros to its
shareholders; this figure amounts to nearly 50 percent of the balance-sheet
profit of Grammer AG. The dividends will be paid out on May 29, 2008.
Following the proposal of the executive and supervisory boards, the
shareholders elected Dr. Peter M. Stehle to the supervisory board. Dr.
Stehle had already been appointed by the Amberg District Court in September
2007; the shareholders thus confirmed his appointment to take the place of
Dr. Rolf-Dieter Kempis in representing them on the supervisory board. Dr.
Kempis gave up his seat in the late summer of 2007 to join the executive
board of Grammer AG.
Voting rights corresponding to 34.55 percent of the equity of Grammer AG
were represented at the company’s annual shareholder meeting. Five out of
six decisions were approved with a majority of over 90 percent of the
votes. A prolongation of the authorization to buy back own shares by the
management board did not receive the required qualified majority of votes.
In addition to reviewing 2007, the members of the management board paid
particular attention to the company’s goals and prospects. 'Profit-oriented
thinking and action are the most important prerequisites for business
success,' Dr. Kempis told the shareholders. 'This applies especially to our
markets. By going all out to achieve more efficient production and
operational processes and leaner organizational structures, we are
optimizing Grammer’s cost situation. This will decisively strengthen our
market position, which is now mainly driven by our leadership in the areas
of innovation, safety, design, comfort and convenience.'
