Gram Car Carriers: Issuance of consideration shares and mandatory notification of trade in connection with acquisition of Paglia

Reference is made to the stock exchange notice by Gram Car Carriers ASA (the

"Company") earlier today, 29 November 2022, regarding the successful completion

of the acquisition of the pure car truck carrier "Paglia" (5,000 CEU) from

MS "Paglia" GmbH & Co. KG, a company 100% owned by F. Laeisz GmbH ("F. Laeisz").

In connection with completion of the transaction, the Company has issued 563,218

new shares to F. Laeisz, a close associate of Nikolaus H. Schües (vice chair of

the board), at a subscription price of USD 17.4 (equal to approximately NOK

172.4) per share, which have been subscribed by F. Laeisz. The shares have been

issued by the Company's board of directors pursuant to the authorization granted

by the annual general meeting on 12 May 2022 and entails an increase of the

Company's share capital by NOK 1,641,621 (rounded) to NOK 85,357,580 (rounded).

Following completion of the transaction, F. Laeisz holds 7,884,229 shares in the

Company, equal to approximately 26.92% of the Company's share capital. Please
