Notification of Change of Auditor

The Board of Grainger plc ("Grainger" or the "Group") announces its intention to appoint KPMG Audit plc ("KPMG") as its auditor from the year ending 30 September 2015.

This follows a competitive tender process run by the Grainger Group Audit Committee, resulting in a recommendation which was endorsed by the Board of Grainger at a meeting earlier today.

This new appointment is subject to shareholder' approval at the February 2015 Annual General Meeting. Grainger's current auditors, PricewaterhouseCoopers LLP ("PwC"), will undertake the audit of the Group's consolidated accounts for the year ended to 30 September 2014.
