NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

Grainger plc announces that further to the announcement made on 24 January 2019 and pursuant to the Grainger 2007 Long Term Incentive Plan, that in respect of the shares that vested on 23 January 2019, the following sale of ordinary shares by Helen Gordon and Vanessa Simms took place on 12 February 2019 at a price of £2.42 in order to fund the resulting tax liability arising from the vesting as set out below. Grainger plc was notified of this transaction on 13 February 2019.

Arrangements are in hand to transfer the remaining shares that vested from the Grainger plc Employee Benefits Trust to the Executive Directors.
