Item 8.01. Other Events.

On April 9, 2020, Graham Corporation (the “Company”) entered into a promissory note (the “Promissory Note”) with JP Morgan Chase, N.A., which provides for a loan in the amount of $4,599,003 (the “PPP Loan”) pursuant to the Paycheck Protection Program under the Coronavirus Aid, Relief, and Economic Security Act (the “CARES Act”). The PPP Loan is scheduled to mature on its two-year anniversary, has a 1.00% interest rate, and is subject to the terms and conditions applicable to loans administered by the U.S. Small Business Administration under the CARES Act. Certain payments under the PPP Loan are deferred for six months after the date of disbursement. The PPP Loan may be prepaid with no prepayment penalties. The Promissory Note contains customary events of default and other provisions for a loan of this type. The Paycheck Protection Program provides that the PPP Loan may be partially or wholly forgiven if the funds are used for certain qualifying expenses as described in the CARES Act. The Company intends to use the proceeds only for qualifying expenses as described in the CARES Act.
