Re: Prisma Exploration Inc. (the “Issuer”) Transfer of Escrow Securities

Please be advised that the Issuer’s director Brent Hahn will be transferring 150,000 common shares of the Issuer to the Issuer’s director Barry Hartley. 90,000 of the common shares subject to the proposed transfer are subject to the Escrow Agreement Among the Issuer, Endeavour Trust Corporation and certain security holders of the Issuer dated October 20, 2021 (the “Escrow Agreement” ). A copy of the Escrow Agreement is available under the SEDAR profile of the Issuer.

The board of directors of the Issuer has approved the transfer.

Director Barry Hartley has executed Schedule “B” to Escrow Agreement Acknowledgment and Agreement to be Bound dated January 20, 2023, which is filed on SEDAR under the profile of the Issuer.

The parties plan to complete the transfer more than 10 days after the date of this letter.
