NOTICE UNDER SECTION 708A(5)(e) OF THE CORPORATIONS ACT

This notice is given by GR Engineering Services Limited (GR Engineering) under section 708A(5)(e) of the Corporations Act 2001 (Cth) (Corporations Act).

GR Engineering confirms that it has today issued to employees 180,000 fully paid ordinary shares (New Shares) for nil consideration upon the vesting and exercise of 180,000 Performance Rights under the GR Engineering Services Limited 2022 Equity Incentive Plan approved by shareholders on 23 November 2022.

Please refer to the Appendix 2A preceding this notice for further details.

GR Engineering advises that:

• (a) the New Shares were issued without disclosure to investors under Part 6D.2 of the Corporations Act;

• (b) this notice is being given under section 708A(5)(e) of the Corporations Act; and

• (c) as at the date of this notice:

  • (i) GR Engineering has complied with the provisions of Chapter 2M (as applicable to GR Engineering) and sections 674 and 674A of the Corporations Act; and

  • (ii) there is no information that is ‘excluded information’ with the meaning of sections 708A(7) and 708A(8) of the Corporations Act.
