Extension of Voluntary Suspension

We refer to the request for voluntary suspension granted to GR Engineering Services Limited (GNG.ASX) ( GR Engineering or Company ) on 18 August 2017.

The Company requests that its securities remain suspended from trading pending the finalisation of an announcement to the market regarding the matters referred to below.

Pursuant to ASX Listing Rule 17.2, the Company provides the following information in relation to its request:

  1. As advised by the Company on 18 August 2017, the Company sought the voluntary suspension of its securities to manage its continuous disclosure obligations in relation to the following matters:

  2. (a) the Supreme Court of Western Australia proceedings between GR Engineering and Eastern Goldfields Limited ( Eastern Goldfields ), details of which GR Engineering announced to ASX on 11 July 2017 and the impact to those proceedings of the appointment and subsequent removal of a liquidator to Eastern Goldfields between 16 and 17 August 2017 respectively; and

  3. (b) GR Engineering Services (UK) Ltd ( GRES UK ) (a wholly owned subsidiary of the Company), receiving from Wolf Minerals (UK) Ltd ( Wolf ) (a wholly owned subsidiary of Wolf Minerals Ltd (WLF.ASX)) on 17 August 2017 a claim notice and notice of intention to call on a performance bond that GRES UK provided Wolf pursuant to the EPC contract for the Hemerdon Tungsten & Tin Project which GRES UK completed in October 2015.

  4. The Company had expected the suspension to remain in place until the earlier of the commencement of normal trading on Tuesday, 22 August 2017, or until the release of an announcement in relation to the matters referred in paragraph 1.

  5. The Company is currently in the process of finalising its audited full year financial results for the financial year ended 30 June 2017 ( FY17 Results ), which it had anticipated releasing by Thursday, 24 August 2017. The Company now expects to release the FY17 Results by Friday, 25 August 2017.

  6. The Company has established that the matters referred to in paragraph 1 may impact the outcomes associated with the FY17 Results. The nature and extent of this impact is yet to be resolved. The Company considers that it will only be in a position to fully inform the market where an update in relation to these matters is provided alongside the audited FY17 Results, which once finalised will reflect any associated impact attributable to the matters referred to in paragraph 1.

  7. The Company now requests that the suspension remain in place until the earlier of the commencement of normal trading on Friday, 25 August 2017 or the release of the FY17 Results.

  8. The event that will end the voluntary suspension is the release of the FY17 Results.

The Company is not aware of any reason why the voluntary suspension should not be granted or any further information necessary to inform the market about the voluntary suspension.
