Current Report No. 44/2017Date: 4 October 2017Topic: Courtregistration of amendments to the Articles of Association of the WarsawStock ExchangeLegal Basis: Article 56.1(2) of the Act on PublicOffering - current and periodic reportsContent:TheWarsaw Stock Exchange ("GPW", "Company") informs that on 3 October 2017,the amendments of the GPW Articles of Association adopted in ResolutionNo. 41 of the Ordinary General Meeting of the Company on 19 June 2017,the content of which is contained in the Attachment were registered bythe District Court for the City of Warsaw, 12th Commercial Division ofthe National Court Register.The amendments of the Articles ofAssociation concern among others harmonizing provisions with respect tothe powers of the Company's authorities, procedure for the appointmentof the members of the Management Board, and the terms of disposingnon-current assets with the State Property Management Act of 16 December2016. It is also aligned to the provisions with the requirements of newlegislation applicable to the Company, in particular the Act of 9 June2016 on the terms of determining the remuneration of managers of certaincompanies and the new Act on auditors, audit firms and publicsupervision.Legal basis:§ 38.1(2) of the Regulation of theMinister of Finance of 19 February 2009 on current and periodicinformation provided by issuers of securities and on conditions underwhich information required by legal regulations of a third country maybe recognised as equivalent.
