Current Report No. 37/2016Date: 13 October 2016Topic: Resolutionon the issue of series D and E bondsLegal basis: Art. 17(1) of theMAR Regulation - Inside informationContent:Further to CurrentReports No. 32/2016 of 8 August 2016 and 33/2016 of 25 August 2016, theWarsaw Stock Exchange ("GPW", "Company", "Issuer") announces than on 13October 2016, the Management Board of GPW adopted Resolution No.1058/2016 concerning an issue of 1,200,000 (in words: one million twohundred thousand) bearer bonds with a par value of PLN 100 (in words:one hundred zlotys) each and a total par value of PLN 120,000,000 (inwords, one hundred twenty million zlotys) ("Bonds").TheBonds will be issued in two series:• series D with a total par valueof no more than PLN 60,000,000 (in words: sixty million zlotys) ("SeriesD Bonds"); and• series E with a total par value of no morethan PLN 60,000,000 (in words: sixty million zlotys) ("Series E Bonds").TheBonds will be issued under the Bonds Act of 15 January 2015 ("Act") andwill not have the form of a document. The Bonds will be offered pursuantto Article 33(1) of the Act under a prospectus drawn up by the Companyand approved by the Polish Financial Supervision Authority (KNF). TheBonds will be unsecured bonds.It is the intention of the Issuer tointroduce the Bonds into trading on the regulated market on Catalystoperated by GPW and on the regulated market on Catalyst operated byBondSpot S.A.The Bonds will bear interest at a floating rate equalto the WIBOR 6M reference rate plus a margin. The margin will be set ina separate Resolution of the Exchange Management Board.Interest onthe Bonds will be paid semi-annually. Interest on the Series D Bonds andinterest on the Series E Bonds will be paid on the dates set in theterms of issue of the Series D Bonds and the Series E Bonds defined inthe Bonds prospectus.The Bonds redemption date shall be 31 January2022.Legal basis: Article 17(1) of Regulation (EU) 596/2014 ofthe European Parliament and of the Council of 16 April 2014 on marketabuse (market abuse regulation) and repealing Directive 2003/6/EC of theEuropean Parliament and of the Council and Commission Directives2003/124/EC, 2003/125/EC and 2004/72/EC ("MAR").
