Current Report No. 31/2017Date: 13 June 2017Topic: Appointmentof a member of the Exchange Management BoardLegal basis: Article56.1(2) of the Offering Act – current and periodic informationContent:TheWarsaw Stock Exchange (“GPW”, “Company”, “Exchange”) informs that theGPW Supervisory Board at its meeting on 8 June 2017, acting pursuant toArticle 368 §4 of the Code of Commercial Companies in connection with§20.3 of the Company’s Articles of Association has decided to appointMr. Jarosław Grzywiński to the position of the Vice President of theExchange Management Board.According to the Article 27.1 of the Acton Trading in Financial Instruments of 29 July 2005 the aforementioneddecision shall take effect conditional on the approval of the PolishFinancial Supervision Authority (‘KNF”) for the change on the ExchangeManagement Board.Mr Jarosław Grzywiński holds a degree from theDepartment of Law and Administration, the Department of Law, Universityof Bayreuth, (LL.M., Germany), and Oxford University (study visit).Member of the District Chamber of Legal Counsels in Warsaw. In2000-2015, he worked with a number of financial market institutions andlaw firms in the area of capital market law, M&A law, real estate law,as well as bond law. He participated in the legislative work in thedevelopment of commercial company law in Poland. In 2016-2017, DeputyChairman of the Exchange Supervisory Board and Secretary to the ExchangeSupervisory Board. In 2016 and 2017, Chairman of the GPW Regulation andCorporate Governance Committee. Since 2017, Chairman of the SupervisoryBoard of Bondspot S.A. He serves as the Chairman of the SupervisoryBoard of the Polish Power Exchange, Member of the Board of the PolishNational Foundation, and Member of the Board of Directors of Aquis, thefinancial instrument trading platform supervised by the UK financialmarket regulator. On 15 March 2017, he was delegated by the GPWSupervisory Board to temporarily perform the functions of the Presidentof the GPW Management Board.According to the statement providedby Mr. Jarosław Grzywiński he does not perform in any form anyactivities competitive to the GPW, he is not engaged in a competitivecompany as a partner in a partnership or civil law partnership or amember of an authority of a joint stock company, and he is not engagedin any other competitive legal entity as a member of its authority.Furthermore, Mr. Jarosław Grzywiński stated that he had no knowledge onhaving a record in the Register of Insolvent Debtors operating under theAct on the National Court Register.Legal basis: § 5.1 (22) ofthe Regulation of the Minister of Finance of 19 February 2009 on currentand periodic information provided by issuers of securities and onconditions under which information required by legal regulations of athird country may be recognised as equivalent.
