Current Report No. 34/2017Date: 19 June 2017Topic: Appointmentof Mr Marek Dietl as President of the Management Board of the WarsawStock ExchangeLegal basis: Article 56. 1(2) of the Act on Offering –current and periodic informationContent:The Warsaw StockExchange (“Company”, “Exchange”, “GPW”) informs that on 19 June 2017 theGeneral Meeting of the Warsaw Stock Exchange has adopted a resolution toappoint Mr Marek Dietl as President of the Exchange Management Board.Theaforementioned decision shall enter into force on the date of deliveryto the Company of the decision of the Polish Financial SupervisionAuthority approving the change in the composition of the ExchangeManagement Board under this Resolution.Mr Marek Dietl holds a degreefrom the Warsaw School of Economics and a PhD from the Institute ofEconomic Sciences, Polish Academy of Sciences. During his PhD programme,he was a fellow at the University of Glasgow. He is Assistant Professorat the Warsaw School of Economics since 2012. In 2012-2013, he was afellow at the University of Economics, Essex. He completed a two-yearprogramme in finance: EY Executive Studies in Finance. From 1999, heworked with Simon-Kucher & Partners, the consultancy specialised inprice management, in Germany, where he was promoted from Intern to Proxyto Leader of the Warsaw office for three years. In 2008-2012, he wasresponsible for venture capital fund investments at Krajowy FunduszKapitałowy S.A., initially as Investment Manager and later as DeputyDirector for Investments. In 2007-2008, Member of the Supervisory Boardof Bank Gospodarstwa Krajowego. Since January 2017, he sits on theSelection Committee of the fund-of-funds PZU Witelo. He has experienceof work on the Supervisory Boards of listed companies. He has managedthree non-public companies and served on the Supervisory Boards ofanother 12 companies, including Lib-Leasing (2005-2010); BA Seedfund(2006-2008); Inovo Venture Fund (2013-2014); Zernike Meta-Ventures(2013-2014). In 2007-2010, he was the social advisor to three successivePresidents of the Energy Regulatory Office. In 2008-2013, he wasMediator at the Court of Arbitration of the Polish Financial SupervisionAuthority (KNF). He currently serves as Economic Advisor to thePresident of Poland, Expert and Board Member of Instytut Sobieskiego,and Expert of the Business Centre Club.According to thestatement provided by Mr Marek Dietl, he does not perform in any formany activities competitive to the GPW, he is not engaged in acompetitive company as a partner in a partnership or civil lawpartnership or a member of an authority of a joint stock company, andshe is not engaged in any other competitive legal entity as a member ofits authority. Furthermore, Mr Marek Dietl does not have a record in theRegister of Insolvent Debtors operating under the Act on the NationalCourt Register.Legal basis: § 5 (1) (22) of the Regulation ofthe Minister of Finance of 19 February 2009 on current and periodicinformation provided by issuers of securities and on conditions underwhich information required by legal regulations of a third country maybe recognised as equivalent.
