NON-RENEWAL OF THE SHAREHOLDERS' AGREEMENTS UNDER THE INVESTMENT AGREEMENT SIGNED ON 22 JUNE 2022 BETWEEN FM S.P.A., CDP EQUITY S.P.A., GPI S.P.A. AND FAUSTO MANZANA

GPI S.p.A., a leading company in the software and services sector supporting the digital transformation of healthcare, listed on the Euronext Milan Tech Leaders market, announces that today it has received a copy of the communication sent by FM S.p.A. to CDP Equity S.p.A. expressing its intention not to renew the shareholders' agreements contained in the Investment Agreement signed on 22 June 2022 between FM S.p.A., CDP Equity S.p.A., GPI S.p.A. and Fausto Manzana.

Following the notice communicated by FM S.p.A., the above-mentioned shareholders' agreements shall therefore be deemed fully terminated and without effect as of 12:00 a.m. on 14 December 2025.

The relevant disclosure obligations will be fulfilled in the manner and within the time limits provided for by applicable laws and regulations.
