EARLY REPAYMENT OF THE BOND "GPI S.P.A. – 3% 2017-2022" APPROVED

Trento, 14 June 2022

GPI S.p.A. (GPI:IM), a company listed on the EXM market with a leading position in health and social care information systems and services, following up on its disclosure of 12 May 2022, announces that the Bondholders' Meeting of the bond "GPI S.P.A. – 3% 2017-2022" (ISIN: IT0005312886) (hereinafter the "Bond"), listed on the Professional Segment (ExtraMOT PRO) of the ExtraMOT Market managed by Borsa Italiana, meeting today in second call, approved unanimously the early repayment on 30 June 2022 of the Bond, with a total residual nominal value to date of EUR 10,000,000.00 (ten million/00).

The following will therefore be paid on 30 June 2022:

• the third principal instalment, due on 30 June 2022, equal to 25% of the total amount issued, in the amount of EUR 12,500.00 (twelve thousand five hundred/00) for each of the 400 bonds, totalling EUR 5,000,000.00 (five million/00). Following this repayment, the remaining nominal value of the individual bonds will be EUR 12,500.00 (twelve thousand five hundred/00), and the total remaining value of the bond will be EUR 5,000,000.00 (five million/00). The minimum denomination is therefore EUR 12,500.00 (twelve thousand five hundred/00);
• the fourth and final remaining principal instalment, due, per the original amortization schedule, 31 December 2022, equal to 25% of the total issued, in the amount of EUR 12,500.00 (twelve thousand five hundred/00) per each of the 400 bonds, for a total of Euro 5,000,000.00 (five million/00). The early repayment of the bond will take place at the value specified in the Bond Regulations, or at 100.75% of the remaining nominal value of the bonds subject to early repayment, plus any interest and charges accrued and not yet paid as at the date of repayment, in accordance with the provisions of the Bond Regulations already in place.

The Minutes of the Bondholders' Meeting will be made available to the public by publication at the registered office, on the website at https://www.gpi.it/en/investors/events/ Meetings – 2022, and on the authorized storage mechanism (), following registration with the competent Register of Companies, notice of which will be given in the manner prescribed by current regulations.

Pursuant to the ExtraMOT Market Regulations adopted by Borsa Italiana, the removal of the bonds from trading on the ExtraMOT PRO Segment of the ExtraMOT Market will be ordered from 28 June 2022.
