Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 17, 2021, The Goodyear Tire & Rubber Company (the “Company”) filed a Current Report on Form 8-K announcing the election of Prashanth Mahendra-Rajah to its Board of Directors. At that time, Mr. Mahendra-Rajah had not yet been appointed to any committees of the Board of Directors. The Company is filing this Item 5.02 information to provide Mr. Mahendra-Rajah’s committee assignments.

On August 3, 2021, Mr. Mahendra-Rajah was named to the Audit Committee and the Committee on Corporate Responsibility and Compliance of the Board of Directors.
