ADDITIONAL LISTING OF SHARES AND DIRECTORS' SHAREHOLDINGS

The Company announces the share options awarded under the Goodwin PLC Equity Long Term Incentive Plan ("LTIP") voted on at the Annual General Meeting on the 5th October 2016 have partially been exercised, following achievement of the performance criteria as outlined on page 28 of the Company's Directors Report and Accounts 2019. The exercise price is £0.10 pence per share, being the nominal value of the Company's ordinary shares ("Shares").

Details of the number of Shares, each paid up in full received by the Executive Directors are set out below:

Application has been made for the new 163,200 ordinary shares to be admitted to the Official List of the UK Listing Authority and trading on the London Stock Exchange's main market for listed securities and dealings is expected to commence on or around 16th October 2019 ("Admission"). The shares will rank pari passu with the existing ordinary shares of the Company.

Total Voting Rights

Following Admission, the Company will have 7,363,200 ordinary shares in issue. The Company has no ordinary shares held in treasury. The total number of voting rights in the Company following Admission will therefore be 7,363,200.
