The Company received notification on 12th October 2022, of a number of transactions in which Mr. T. J. W. Goodwin, Mr. M. S. Goodwin, Mr. S. R Goodwin, Mr. B. R. E.  Goodwin, Directors of the Company, and former Executive Director Mr. R. S. Goodwin and Mr. J. W. Goodwin are interested.

The following Executive Directors, Mr. M. S. Goodwin, Mr. S. R. Goodwin, Mr. B. R. E. Goodwin and Mr. T. J. W. Goodwin are acting in concert with former Executive Directors Mr. J. W. Goodwin and Mr R. S. Goodwin (and deemed to be so).

On 12th October 2022, J. M. Securities, a company in which J. W. Goodwin and R. S. Goodwin have a beneficial interest, purchased a total of 24,856 ordinary shares at a price of £31.85 per share from the following persons:

On 12th October 2022, J. M. Securities (No. 3) Ltd., a company in which J. W. Goodwin and R. S. Goodwin have a beneficial interest, purchased a total of 34,678 ordinary shares at a price of £31.85 per share from the following persons:

Mr. T. J. W. Goodwin

1.   462 ordinary shares in the capital of the Company were purchased into his ISA account, 232 at a price of £30.58 per share and 230 at a price of £31.55 per share on 11th October 2022.

2.   680 ordinary shares in the capital of the Company were sold at a price of £29.15 per share on the 11th October 2022.  On the same day, 680 shares were purchased into his ISA at a price of £29.15 per share.

3.   680 ordinary shares in the capital of the Company were sold at a price of £29.15 per share on the 11th October by Mr. T. J. W. Goodwin.   On the same day 680 shares were purchased into the ISA account of Mr. T.  J. W. Goodwin's wife, Mrs. S. Goodwin at a price of £29.15 per share.

4.   649 ordinary shares in the capital of the Company were purchased into an ISA account by Mr. T. J. W. Goodwin's wife, Mrs. S. Goodwin, at a price of £30.60 per share and 160 ordinary shares at a price of £31.55 per share on 11th October 2022 (total 809 shares).

5.   292 ordinary shares in the capital of the Company were purchased into a Junior ISA account for Mr. T. J. W. Goodwin's son, Master Goodwin, at a price of £30.61 per share on 11th October 2022.

1,650 ordinary shares in the capital of the Company were purchased on 11th October 2022.  38 ordinary shares at a price of £31.58 per share were purchased into his ISA account and 1,612 at a price of £31.00 per share into his SIPP account.

Mr. S. R. Goodwin

1,597 ordinary shares in the capital of the Company were purchased into his ISA account, at a price of £31.30 per share on 11th October 2022.

Mr. B. R. E. Goodwin

1.   257 ordinary shares in the capital of the Company.   86 were purchased in his name at a price of £31.48 per share and 171 into his ISA account at a price of £31.60 per share on 11th October 2022.

2.   634 ordinary shares in the capital of the Company were sold at a price of £31.55 per share on 11th October 2022. On the same day 634 shares were purchased into his ISA at a price of £31.60 per share.  

3.   9 ordinary shares in the capital of the Company were purchased into a Junior ISA account for Mr. B. R. E. Goodwin's daughter, Miss Goodwin, at a price of £31.40 per share on 11th October 2022.

4.   6 ordinary shares in the capital of the Company were purchased into a Junior ISA account for Mr. B. R. E. Goodwin's son, Master Goodwin, at a price of £31.40 per share on 11th October 2022.

5.   576 ordinary shares in the capital of the Company were sold at a price of £31.30 per share on 11th October 2022. One the same day 288 shares were purchased into his daughter's Junior ISA and 288 shares into his son's Junior ISA at a price of £31.40 per share (total 576 shares).

6.   46 ordinary shares in the capital of the Company were purchased into an ISA account by Mr. B. R. E. Goodwin's wife, Mrs. H. Goodwin, at a price of £31.50 per share on 11th October 2022.

7.   636 ordinary shares in the capital of the Company were sold at a price of £31.45 per share on 11th October 2022. On the same day 636 shares were purchased into his wife's ISA at a price of £31.50 per share.

Mr. R.S. Goodwin

1.   1,255 ordinary shares in the capital of the Company were purchased into his SIPP account at a price of £31.85 per share on 12th October 2022.

2.   760 ordinary shares in the capital of the Company were purchased into his ISA account at a price of £30.65 on 12th October 2022.

3.   640 ordinary shares in the capital of the Company were purchased into the ISA account of his wife, Mrs. G. Goodwin, at a price of £30.65 on 12th October 2022.

All transactions look place on the LSE with the exception of the sales to J. M. Securities Ltd. and J.M. Securities (No. 3) Ltd. which took place off market.
