DIRECTORS' SHAREHOLDINGS

The Company received notification on 1st May 2019 of the following transactions in which Mr. J. W. Goodwin, Mr. R. S. Goodwin, Mr. M. S. Goodwin, Mr. S. R. Goodwin, Mr. B. R. E.  Goodwin and Mr. T. J. W. Goodwin (Directors of the Company, at the time of the dealings) are interested:

1.   The purchase by Mr. R. S. Goodwin of 615 ordinary shares in the capital of the Company into his ISA account at a price of £31.70 per share on 30th April 2019.

The purchase by Mr. R. S. Goodwin's wife of 610 ordinary shares in the capital of the Company into her ISA account at a price of £31.70 per share on 30th April 2019.

2.   The purchase by Mr. M. S. Goodwin of 1,448 ordinary shares in the capital of the Company into his ISA account at an average price of £31.72 per share on 30th April 2019.

3.   The purchase by Mr. S. R. Goodwin of 821 ordinary shares in the capital of the Company into his ISA account at a price of £31.80 per share on 30th April 2019.

4.   The purchase by Mr. B. R. E. Goodwin of 215 ordinary shares in the capital of the Company into his ISA account at a price of £31.78 per share on 30th April 2019.

The purchase by Mr. B. R. E. Goodwin of 169 ordinary shares in the capital of the Company into a Junior ISA account for his daughter at a price of £31.78 per share on 30th April 2019.

The purchase by Mr. B. R. E. Goodwin of 132 ordinary shares in the capital of the Company into a Junior ISA account for his son at a price of £31.77 per share on 30th April 2019.

The purchase by Mr. B. R. E. Goodwin's wife of 697 ordinary shares in the capital of the Company into her ISA account at a price of £31.79 per share on 30th April 2019.

5.   The purchase by Mr. T. J. W. Goodwin's wife of 635 ordinary shares in the capital of the Company into her ISA account at a price of £31.75 per share on 30th April 2019.

Mr. J. W. Goodwin, Mr R. S. Goodwin, and their sons, Mr. M. S. Goodwin, Mr. S. R. Goodwin, Mr. B. R. E. Goodwin and Mr. T. J. W. Goodwin are acting in concert (and deemed to be so). The total beneficial and non-beneficial holdings of the concert party following these transactions are as detailed below:
