DIRECTORS' SHAREHOLDINGS

The Company received notification on 16th October 2013 of the following transactions in which Mr. J. W. Goodwin, Mr R S Goodwin, Mr. M. S. Goodwin, Mr. S. R. Goodwin and Mr. B. R. E. Goodwin, directors of the Company, are interested.

Purchase of Shares by J. M. Securities Ltd., a company in which J. W. Goodwin and

R. S. Goodwin have a beneficial interest, on 16th October 2013:

1.         The purchase from J. W. Goodwin and his wife of 9,000 shares in the capital of the company

2.         The purchase from R. S. Goodwin and his wife of 4,500 shares each in the capital of the company from their ISA accounts.

The above transactions were at a price of £37.08 per share

Purchase of Shares by J. M. Securities (No. 3) Ltd., a company in which J. W. Goodwin and R. S. Goodwin have a beneficial interest, on 16th October 2013:

1.         The purchase of 3,901 ordinary shares in the capital of the company from  

Mr. M. S. Goodwin.

2.         The purchase of 3,901 ordinary shares in the capital of the company from 

Mr. S. R. Goodwin.

3.         The purchase of 3,901 ordinary shares in the capital of the company from 

Mr. B. R. E. Goodwin.

4.         The purchase of 3,901 ordinary shares in the capital of the company from 

Mr. T. J. W. Goodwin.

All the above transactions were at a price of £37.08 per share.

Mr. J. W. Goodwin, Mr R. S. Goodwin, directors of Goodwin PLC, and their sons

Mr. M. S. Goodwin (also a director of Goodwin PLC), Mr. S. R. Goodwin (also a director of Goodwin PLC), Mr. B. R. E. Goodwin (also a director of Goodwin PLC) and

Mr. T. J. W. Goodwin are acting in concert (and deemed to be so).

The above transactions do not alter the total beneficial and non-beneficial holdings of the concert party and the resultant individual holdings are as detailed below:
