PLACEMENT – CLEANSING NOTICE UNDER SECTIONS 708A AND 1012DA OF THE CORPORATIONS ACT 2001 (CTH)

This notice is given by Goodman Limited (ACN 000 123 0714 (GL), Goodman Funds Management Limited (ACN 067 796 641) (RE) as responsible entity of Goodman Industrial Trust (ARSN 091 213 839) (GIT) and Goodman Logistics (HK) Limited (ARBN 155 911 149) (GLHK), (together, Goodman) under sections 708A and 1012DA of the Corporations Act 2001 (Cth) (Corporations Act) (as modified by ASIC Instrument 20-0743)

Goodman has issued 3,577,778 new fully paid ordinary Goodman Stapled Securities, each comprising one share in GL, one CHESS Depository Interest over a share in GLHK and one unit in GIT ( New Securities ), under a placement.

Goodman gives notice under sections 708A(5)(e) and 1012DA(5)(e) of the Corporations Act that:

1. Goodman issued the New Securities without disclosure to investors under Part 6D.2 of the Corporations Act and without a product disclosure statement for the New Securities being prepared;

2. Each of GL, GLHK and RE (as the issuer of units in GIT) is a disclosing entity and subject to regular reporting and disclosure obligations;

3. As at the date of this notice, each of GL, GLHK and RE has complied with:

   • a. the provisions of chapter 2M of the Corporations Act as they apply to GL, GLHK and GIT respectively; and

   • b. section 674 of the Corporations Act as it applies to GL, GLHK and GIT respectively;

4. as at the date of this notice, there is no excluded information of the type referred to in subsections 708A(7), 708A(8), 1012DA(7) and 1012DA(8) of the Corporations Act.
