Security Purchase Plan - Cleansing Notice in accordance with ASIC Class Order [CO 09/425]

This notice is given by Goodman Limited ACN 000 123 071 and Goodman Funds Management Limited ACN 067 796 641, as responsible entity of Goodman Industrial Trust ARSN 091 213 839, (together, Goodman ) under sections 708A(6) and 1012DA(6) of the Corporations Act 2001 (Cth) ( Act ).

As outlined in a separate announcement by Goodman of today's date, Goodman will offer all eligible holders of Goodman Stapled Securities the opportunity to subscribe for new fully paid Goodman Stapled Securities to the value of A$2,000 under a securities purchase plan, details of which will be dispatched to shareholders within 24 hours after this announcement ( SPP ).

Goodman advises that:

• (a) Goodman will make offers to issue new Stapled Securities under the SPP without disclosure to investors under Part 6D.2 of the Act and without giving a product disclosure statement under Division 2 of Party 7.9 of the Act;

• (b) this notice is being given in accordance with ASIC Class Order [CO 09/425];

• (c) as a disclosing entity, Goodman is subject to regular reporting and disclosure obligations;

• (d) as at the date of this notice, Goodman has complied with the provisions of Chapter 2M and section 674 of the Act, as they apply to Goodman; and

• (e) as at the date of this notice, there is no excluded information of the type referred to in sections 708A(7), 708A(8), 1012DA(7) or 1012DA(8) of the Act.
