It is expected that Goodman Logistics (HK) Limited (the “Company”) will be admitted to the official list of ASX Limited (“ASX”) on Tuesday, 14 August 2012, and CHESS Depository Interests (“CDIs”), representing its fully paid ordinary shares, stapled to the already quoted ordinary fully paid shares in Goodman Limited (“GL”) and ordinary fully paid units in Goodman Industrial Trust (“GIT”) (the “Stapling Proposal”). Shares in GL and units in GIT are currently stapled together on a one-for-one basis and trade under the name Goodman Group (the “Group”).

The Stapling Proposal will be achieved by the Company issuing to Group security holders one CDI, representing a fully paid ordinary share in the Company, for each stapled security held, so that each CDI becomes stapled to a share in GL and a unit in GIT, forming a single class of new triplestapled securities (“New Stapled Securities”). The issue will occur pursuant to the information memorandum issued by the Group and the Company dated 22 February 2012.

Immediately following implementation of the Stapling Proposal, the new triple-stapled Group will retain the trading name Goodman Group.
