Oslo Børs - GOGL R - Listing of new shares

Reference is made to Golden Ocean Group Limited

announcements 19.02.2016 08:30 CET and 23.02.2016

12:01 CET regarding the private placement of new

shares. The new shares will be restricted shares in

the U.S., and will be subject to a six month holding

period during which they cannot be traded in the U.S.

The new shares will therefore be delivered and

registered on a separate ISIN BMG396371145 in the

Norwegian Central Securities Depository (Nw.

Verdipapirsentralen) (the "VPS"). The New Shares will

be assumed for listing only on Oslo Børs under a

separate trading symbol "GOGL R" following publication

of a prospectus (the "Prospectus") approved by the

Norwegian Financial Supervisory Authority.

The new shares will be subject to the Oslo Børs Member

and Trading Rules (MTR) 1630 regarding trading in

securities of US issuers issued pursuant to the

offshore safe harbour from registration requirements

available under Category 3 of Regulation S under the

US Securities Act of 1933, as amended, and identified

as such on the trading system with the letters "REG

S".
