Securing agreement with ROC

Ålesund, 22 June 2022:

As already reported Golden Energy Offshore Services AS (“GEOS” / the “Company”) is working on securing finance for the overdue payment of the lease obligations for the Company’s vessels Energy Empress and Energy Duchess. These two vessels are purchased under separate hire-purchase bare-boat agreements with the yard ROC. The Company and ROC have now reached a mutual understanding for an extension of the payment obligations of the Company whilst the Company continue working for the financing of the vessels.

The Agreement is expected to be signed shortly with ROC and includes a downpayment of USD 2 000 000 per vessels payable by 28 June 2022 and the balance payment payable by 15 July 2022 or such later day when the parties are ready to effect legal transfer. The balance payment payable per vessel is approx. USD 14 750 000 including fees, interest etc.

The Company will in due course give further update on the status of the financing in accordance with its reporting obligations.
