Reference is made to the stock exchange announcement from Golden Energy Offshore Services AS (the “Company”) on 28 September 2023 regarding the successfully placed private placement (the "Private Placement") of 359,073,900 new shares in the Company (the “Offer Shares”) at a subscription price of NOK 1.00 per share. Reference is furthermore made to the approval of the share capital increase pertaining to the Private Placement in the Company's extraordinary general meeting held today.

Fleetscape 2 Luxembourg S.à r.l. (“Fleetscape”), subscribed for and was allocated 138,022,400 Offer Shares in the Private Placement, each at the subscription price of NOK 1.00. Fleetscape’s total subscription amount in the Private Placement is accordingly NOK 138,022,400, whereof 35,583,900 shares shall be paid by conversion of a USD 3,300,000 bridge loan facility already provided by Fleetscape to the Company group. Following completion of the Private Placement, Fleetscape will own 195 796 161 shares equaling 41,25% of the share capital of the Company.

Fleetscape is a fund managed by Oaktree Capital Management and closely associated to Fredrik Ulstein-Rygnestad, member of the board of directors of the Company.
