We, HQ Mining Resources Holding Pty Ltd (ABN 38 133 870 256) ( HQ Mining ) attach by way of service pursuant to section 650F(3)(a) of the Corporations Act 2001 (Cth), a notice declaring that the offers have been freed from the conditions in section 10.7(a) (No regulatory action) and section 10.7(d) (No issue of new securities) of HQ Mining’s bidder’s statement dated 24 November 2015 ( Bidder’s Statement ). The offers remain conditional on the no prescribed occurrences condition in section 10.7(c) of the Bidder’s Statement.

Notice that defeating conditions to takeover bid freed

To: Golden Cross Resources Limited (ABN 65 063 075 178) ( Golden Cross ) ASX Limited

For the purposes of section 650F of the Corporations Act 2001 (Cth), HQ Mining Resources Holding Pty Ltd (ABN 38 133 870 256) gives notice declaring that:

• 1 its takeover offers under its off-market takeover bid for all the ordinary shares in Golden Cross ( Offers ) contained in its bidder’s statement dated 24 November 2015 (and any supplements or variations) ( Bidder’s Statement ) are free from the defeating conditions in the following sections of the Bidder’s Statement:

  • section 10.7(a) (No regulatory action); and

  • section 10.7(d) (No issue of new securities);

• 2 the Offers remain conditional on the no prescribed occurrences condition in section 10.7(c) of the Bidder’s Statement; and

• 3 so far as it knows, its voting power in Golden Cross is 51.53%.
