Notice of status of defeating conditions

• To: Golden Cross Resources Limited (ABN 65 063 075 178) ( Golden Cross )

ASX Limited

HQ Mining Resources Holding Pty Ltd ( HQ Mining ) has made offers under an off-market takeover bid for all the ordinary shares in Golden Cross ( Offers ). The Offers are contained in a bidder’s statement dated 24 November 2015 (and any supplements or variations) ( Bidder’s Statement ).

For the purposes of section 630(3) of the Corporations Act 2001 (Cth), HQ Mining gives notice that:

• 1 the condition in section 10.7(b) (Minimum acceptance condition) of the Bidder’s Statement has been fulfilled;

• 2 the conditions in sections 10.7(a) and 10.7(d) of the Bidder’s Statement have been freed;

• 3 the Offers remain conditional on the no prescribed occurrences condition in section 10.7(c) of the Bidder’s Statement; and

• 4 so far as it knows, its voting power in Golden Cross is 51.53%.
