Cleansing Statement

Torian Resources Ltd ( ASX:TNR ) ( Torian or Company) is pleased to announce it has completed the issue and allotment of 323,711 fully paid ordinary shares to Orbit Drilling Pty Ltd in part consideration for drilling services provided to the Company.

This Notice is given by the Company in accordance with section 708A(5)(e) of the Corporations Act (Cth) ( the Act ). Torian gives notice that:

• a) On 11 February 2016, the Company completed the issue and allotment of 323,711 ordinary shares;

• b) The Company issued the above shares without disclosure to investors under Part 6D.2 of the Act;

• c) As at the date of this Notice, Torian has complied with:

  • a. The provisions of Chapter 2M of the Act as they apply to the Company; and

  • b. Section 674 of the Act; and

• d) As at the date of this Notice, there is no information that is “excluded information” within the meaning of sections 708A(7) and 708A(8) of the Act.
